These AZIBA Terms and Conditions ("Terms" or "T&C") govern your access to and use of our platform (the "AZIBA Platform") as a User. The AZIBA Platform is owned and operated by Getdelivry Technologies Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria ("AZIBA", "we", "our", or "us").
By accessing, browsing, registering for, or using the AZIBA Platform, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must discontinue use of the Platform immediately.
AZIBA reserves the right to amend these Terms at any time. Updated Terms shall become effective immediately upon publication on the Platform. Your continued use of our Platform after such publication constitutes acceptance of the revised Terms.
For the purposes of these Terms:
"Account" means a registered Customer profile created to access certain features on the Platform.
"Customer" means any individual or entity purchasing or intending to purchase products through the Platform.
"Merchant" means any independent seller, fashion designer, retailer, or business authorised by AZIBA to list and sell products on the Platform.
"Order" means a purchase request submitted by a Customer through the Platform.
"Platform" means the AZIBA website, mobile application, software, APIs, and all associated digital services.
"Product" means any fashion item, accessory, beauty product, lifestyle product, or other merchandise offered for sale on the Platform.
"Services" means all marketplace, payment facilitation, logistics coordination, customer support, and related services provided through the Platform.
"User" means any visitor, Customer, Merchant, or other person accessing the Platform.
To use the Platform, you must be at least 18 years old or possess legal capacity under applicable law, provide accurate and complete information during registration, ensure you use the Platform only for lawful purposes, and comply with these Terms.
If you access the Platform on behalf of a company or other legal entity, you represent that you possess authority to bind that entity to these Terms.
Certain features on the Platform require account registration. When creating an account, you agree to provide accurate and current information, promptly update any changes to your information, maintain the confidentiality of your login credentials, and accept responsibility for all activities conducted under your account. AZIBA may suspend or terminate accounts containing false, misleading, or fraudulent information.
You are solely responsible for safeguarding your passwords and account credentials. AZIBA shall not be liable for losses resulting from unauthorized access arising from your failure to maintain adequate account security.
AZIBA provides a digital marketplace through which Customers may purchase products from independent Merchants. Unless expressly communicated otherwise:
Product descriptions, specifications, colours, sizes, and images are provided by Merchants. While AZIBA makes reasonable efforts to ensure accuracy, we do not warrant that descriptions, photographs, measurements, or other product information will always be complete, current, or error-free. Minor variations in colour, texture, or appearance may occur due to photography, screen settings, lighting, or manufacturing differences.
All Products are subject to availability, adding a Product to your cart does not reserve the Product. AZIBA reserves the right to discontinue Products or modify listings without prior notice.
You consent to receive all legal notices, disclosures, and communications from AZIBA electronically. We may provide these notices via email to your registered address, through in-app notifications, or by posting them on the Platform. You agree that all electronic notices satisfy any legal requirement that such communications be in writing.
Orders may be placed through the Platform by following the checkout process and providing all required information. By submitting an Order, you represent and warrant that the information provided is accurate and complete, you are authorised to use the selected payment method and you intend to purchase the selected Product in good faith. Submission of an Order does not constitute acceptance by AZIBA or the Merchant.
Upon successful submission of an Order, an acknowledgement email or notification may be sent confirming receipt of the Order. An Order shall only be deemed accepted when payment has been successfully processed and the Product has been confirmed for fulfilment. AZIBA reserves the right to refuse or cancel any Order where the Product is unavailable, pricing or listing errors occur, fraudulent or suspicious activity is suspected, payment cannot be successfully verified or the Order violates these Terms or applicable law. Where an Order is cancelled after payment has been received, any eligible refund shall be processed in accordance with the Refund Policy.
Unless otherwise indicated, all prices displayed on the Platform are stated in the applicable local currency and are inclusive of applicable taxes unless expressly stated otherwise. AZIBA and its Merchants reserve the right to modify Product prices at any time before an Order is accepted. Obvious pricing errors may be corrected even after an Order has been submitted.
Payments may be made using the payment methods made available on the Platform from time to time. By submitting payment, you authorise AZIBA and its authorised payment service providers to charge the selected payment method for the total Order amount, including applicable delivery charges, taxes, and other disclosed fees. AZIBA does not store Customers' complete payment card details. Payments are processed through licensed third-party payment providers.
From time to time, AZIBA may offer promotional discounts, coupons, referral incentives, or other marketing campaigns. Unless expressly stated otherwise:
AZIBA may coordinate delivery through internal logistics operations or third-party logistics providers. Estimated delivery timelines are provided for convenience only and do not constitute guaranteed delivery dates. Customers are responsible for providing complete and accurate delivery information. AZIBA shall not be liable for delays, failed deliveries, or additional charges resulting from inaccurate addresses, unavailable recipients, or incorrect contact information.
Delivery timelines may be affected by factors outside AZIBA's reasonable control, including weather conditions, public holidays, transportation disruptions, security concerns, customs or regulatory inspections, or force majeure events. Where delays occur, AZIBA shall make reasonable efforts to keep Customers informed.
Risk in the Product passes to the Customer upon confirmed delivery to the delivery address provided. Ownership of Products shall pass only after full payment has been successfully received.
Customers are encouraged to inspect Products upon delivery. Any visible damage, missing items, or incorrect Products should be reported to AZIBA within twenty-four (24) hours of delivery. Failure to report issues within this period may affect eligibility for returns or claims, except where mandatory consumer protection laws provide otherwise.
Subject to AZIBA's Return Policy, eligible Products may be returned where an incorrect Product was delivered, the Product arrives damaged or defective, the Product materially differs from its description, or the return otherwise qualifies under applicable consumer protection laws. Certain Products may not be eligible for return, including customised or personalised items, intimate apparel, beauty products with broken seals, products showing signs of wear or misuse, or Products expressly designated as non-returnable.
Customers requesting a return should initiate the request through the Platform or designated customer support channels within the applicable return period. AZIBA may request photographs, proof of purchase, or additional information before approving a return.
Approved refunds shall generally be processed using the original payment method. Refund processing timelines may vary depending on the payment provider or financial institution. Delivery charges may not be refundable except where required by law.
Customers may cancel Orders before shipment, subject to any applicable cancellation restrictions. Once an Order has entered processing or has been shipped, cancellation may no longer be possible. AZIBA reserves the right to cancel Orders where fraud, pricing errors, inventory shortages, or legal compliance concerns arise.
By using the Platform, you agree that you shall not violate any applicable law or regulation, submit false or misleading information, impersonate another individual or organisation, interfere with the operation or security of the Platform, attempt unauthorised access to any part of the Platform, use automated tools to scrape or harvest Platform data without written consent, post defamatory, abusive, obscene, or unlawful content, or engage in fraudulent transactions or payment activities.
You further agree to use the Platform responsibly and in a manner that does not interfere with the rights or experience of other Users. AZIBA reserves the right to suspend, restrict, or terminate access where it reasonably believes a User has violated these Terms or engaged in conduct that may harm the Platform, its Users, or its reputation.
All content, features, functionality, software, designs, graphics, logos, trademarks, service marks, text, images, and other materials available on the Platform ("AZIBA Content") are owned by or licensed to AZIBA and are protected under applicable intellectual property laws. Except as expressly permitted under these Terms, you shall not:
Where Users submit reviews, feedback, comments, photographs, or other content through the Platform ("User Content"), they grant AZIBA a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, display, and distribute such content for business, marketing, and promotional purposes. You represent that you have all necessary rights to submit such content and that it does not infringe the rights of any third party.
Any feedback, suggestions, comments, or ideas regarding the Platform ("Feedback") that you submit to AZIBA are provided on a non-confidential basis. By submitting such Feedback, you irrevocably assign to AZIBA all right, title, and interest in such Feedback, and AZIBA shall be free to use, develop, and implement such Feedback without any obligation or compensation to you.
The Platform may integrate or rely on third-party services, including payment processors, logistics providers, analytics providers, hosting providers, and communication services. These third parties operate independently and may have their own terms and privacy policies. AZIBA shall not be responsible for failures, interruptions, or losses arising from third-party services outside its reasonable control.
The Platform may contain links to third-party websites, applications, or services. These links are provided for convenience only. AZIBA does not control, endorse, or assume responsibility for the content, availability, products, services, or practices of third-party platforms. Users access third-party platforms at their own risk.
While AZIBA strives to provide a secure and dependable Platform, we cannot ensure that its operation will be continuous, completely free from errors, accessible at all times, or entirely clear of viruses and other damaging elements. Service availability may be temporarily suspended to accommodate technical enhancements, routine updates, scheduled maintenance, or due to events outside of our reasonable control.
EXCEPT AS EXPLICITLY STATED OTHERWISE IN WRITING, THE PLATFORM, ALONG WITH ALL SERVICES, PRODUCTS, AND MATERIALS (INCLUDING ANY ASSOCIATED SOFTWARE) ACCESSIBLE OR OTHERWISE DISTRIBUTED TO YOU THROUGH IT, ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE GIVE NO WARRANTY THAT: (A) THE SERVICES PROVIDED VIA THE PLATFORM WILL REMAIN UNINTERRUPTED OR PERMANENTLY ACCESSIBLE; OR (B) ANY DATA, MATERIAL, OR INFORMATION PRESENTED THROUGH THE PLATFORM OR SERVICES IS ACCURATE, COMPLETE, TRUE, OR FREE FROM MISLEADING STATEMENTS. UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE TO YOU FOR THE CONTENTS OF, RECOGNIZED USE OF, OR ANY CLAIMS OTHERWISE CONNECTED TO THE PLATFORM OR ASSOCIATED SERVICES.
AZIBA operates a marketplace and does not manufacture most Products listed on the Platform. While AZIBA takes reasonable steps to work with reputable Merchants, AZIBA does not independently guarantee the quality of every Product, accuracy of all Merchant descriptions, suitability of Products for a particular purpose, or Merchant compliance with all applicable laws. Customers are encouraged to review product information carefully before purchase.
Customers acknowledge that fashion products may have minor variations arising from manufacturing processes, fabric characteristics, lighting conditions, photography limitations or device display settings. Such variations shall not ordinarily constitute defects.
The limitations and exclusions of liability set out in these Terms govern all liabilities arising under these Terms, including in contract, tort (including negligence), and breach of statutory duty.
To the fullest extent permitted by applicable law, AZIBA shall not be liable for any indirect, incidental, special, or consequential losses, including loss of profits, revenue, business opportunities, goodwill, data corruption, or damage to software. We do not warrant that the Platform, materials, products, or services are free from viruses or harmful components, nor do we guarantee that they will be uninterrupted, error-free, or meet your expectations.
Our Website may contain hyperlinks to third-party sites; we have no control over these third-party platforms and accept no responsibility for them. You acknowledge that AZIBA is a limited liability company, and you agree not to bring any personal claim against our officers or employees.
Where AZIBA is found liable for any claim arising from your use of the Platform, our total cumulative liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim in the six (6) months prior to the event giving rise to the liability. If no payment has been made, our cumulative liability shall not exceed 10,000 Naira.
Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability for fraud, gross negligence, or mandatory consumer protection rights. If any limitation is unenforceable in your jurisdiction, the scope and duration of such liability shall be limited to the minimum permitted by law.
You agree to indemnify and hold harmless AZIBA, its affiliates, directors, employees, officers, agents, and partners from claims, damages, liabilities, costs, and expenses arising from your breach of these Terms, your misuse of the Platform, your violation of applicable laws or third-party rights, fraudulent activities conducted through your account, or content submitted by you through the Platform.
AZIBA reserves the right to assume control of the defence of any matter subject to indemnification, and you agree to cooperate reasonably in such defence.
AZIBA collects, processes, stores, and uses personal information in accordance with its Privacy Policy and applicable data protection laws. By using the Platform, you consent to the collection and processing of your information for purposes including account creation and management, processing and fulfilling Orders, payment processing, customer support, fraud prevention, improving Platform functionality and marketing communications where permitted.

You may stop using the Platform at any time. You may request deletion of your Account subject to AZIBA's legal and regulatory obligations to retain certain information.
AZIBA may suspend or restrict access to the Platform where:
Termination shall not affect rights or obligations that accrued before termination, including payment obligations, intellectual property rights, confidentiality obligations, and liability provisions.
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. The parties shall first attempt to resolve any dispute arising from these Terms through good-faith negotiations. Where a dispute cannot be resolved amicably, either party may seek appropriate remedies before the courts of competent jurisdiction in Nigeria.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE IN ANY FORUM WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION OR IN ANY OTHER PROCEEDING IN WHICH YOU ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY.
These Terms, together with any additional policies published on the Platform, constitute the entire agreement between you and AZIBA regarding your use of the Platform.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by AZIBA to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision later.
AZIBA shall not be liable for any delay or failure to perform its obligations resulting from circumstances beyond its reasonable control, including, without limitation, natural disasters, government actions, labour disputes, civil unrest, or failures in essential infrastructure, including but not limited to cyber-attacks, server outages, internet service disruptions, or telecommunications failures.
